1. Introduction

Welcome to PassNinja! These Terms of Service (“Terms”) govern your access to and use of the website passninja.com (the “Site”) and our digital Software as a Service (SaaS) products, including Pass Templates and Installed Passes (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

2. Services Overview

PassNinja provides Pass Templates and Active Passes on a subscription basis, enabling businesses and developers to create, manage, and distribute digital passes for Apple and Google Wallet.

Pass Templates & Active Passes

  • Charges for Pass Templates begin at the time of creation on the Site.
  • Charges for Active Passes begin when passes are installed on target devices.

API Usage & Performance

  • The PassNinja API is designed for seamless pass issuance and management. We allow 100 API calls per day for each Pass Template subscription.
  • If the daily API limit is exceeded, additional requests may be throttled to ensure system stability.

High Capacity Scaling

For customers anticipating higher API usage, PassNinja offers a High Capacity option that provides additional API throughput with advance notice of at least 48 hours. Contact us via the chat widget on the Site or by emailing info@passninja.com.

  • High Capacity scaling incurs additional fees for infrastructure adjustments ($100/day) and engineering support ($150/hr).
  • These charges are applied separately and in addition to standard subscription fees.

3. Subscription & Billing

  • Subscription charges are billed monthly.
  • Payments are non-refundable except as explicitly stated in our Refund Policy (Section 5).
  • By using our Services, you authorize us to charge the payment method on file at the beginning of each billing cycle.

4. Cancellation Policy

  • You may cancel your subscription at any time by contacting us via the chat widget on the Site or by emailing info@passninja.com.
  • Cancellation requests must be made at least 24 hours before the next billing cycle to avoid additional charges.
  • Your access to the Services will cease at the time the cancellation request is processed.

5. Refund Policy

  • Refunds are only available for Pass Template charges where no associated passes have been installed.
  • Refunds are granted only for the current month of service and provided as credits for use on PassNinja services.
  • Previously billed months will not be refunded under any circumstances.

6. Use of Services

  • You agree to use the Services in compliance with all applicable laws and regulations.
  • You may not use the Services for any unlawful or unauthorized purposes.
  • PassNinja reserves the right to suspend or terminate accounts found in violation of these Terms.

By using PassNinja, you acknowledge that you have read, understood, and agree to these Terms.
